General terms and conditions of sale

  1. GENERAL APPLICATIONS

1.1. Unless otherwise agreed and expressly accepted in writing, all offers are governed, without exception, by the conditions indicated below.

1.2. These conditions are considered accepted without restriction or reservation, by the simple fact of concluding the contract or order.

  1. ORDERS

2.1. Orders are only final when confirmed in writing (signed purchase order or quote) and after payment of a 40% deposit upon ordering. The remaining payment will be made when the instrument is completed and ready for shipment.

2.2. Placing an order commits the buyer’s liability, and the buyer has 48 hours to cancel.

2.3. The refund of the deposit paid at the time of ordering will only be refunded in the event of failure by the manufacturer to comply with the delivery times announced at the time of ordering.

  1. DELIVERY TIMES

3.1. Delivery times within the EU will not exceed 4 to 10 days, while international deliveries may take 9 to 15 days. However, Paul Lairat entirely excludes any claims filed by the customer regarding late delivery (in particular, claims for refunds).

  1. PRICES

4.1. Prices and their changes are freely set by the seller until the order date. Our prices are quoted excluding tax (VAT not applicable, Article 293 B of the French General Tax Code, companies not subject to VAT), plus shipping, packaging, fees, and insurance.

  1. TRANSPORT

5.1. The buyer bears all costs and risks inherent in the transport of the goods, from the loading point to the destination. 5.2. In the event of breakage, theft, or damage, it is the recipient’s responsibility to make a reasoned complaint to the carrier upon delivery.

  1. RECEIPT AND RETURN OF GOODS

6.1. Without prejudice to any arrangements to be made with the carrier, complaints regarding apparent defects or non-conformity of the ordered product must be made to the seller within 48 hours of receipt of the goods. It is the buyer’s responsibility to provide all supporting documentation regarding the defects or anomalies noted. The buyer must provide the seller with every opportunity to identify and remedy these defects. The buyer must refrain from intervening themselves or involving a third party unless expressly agreed to by the seller. The return of the equipment must be made postage prepaid and carefully packaged and protected; otherwise, it will be refused and will not be considered.

  1. WARRANTY

7.1. With the exception of electronic components and hardware, which are covered by a one-year warranty, the instrument parts are covered by a three-year warranty. Any warranty service performed under this warranty does not extend the warranty period. The invoice must be presented when the warranty is invoked. The seller’s sole obligation is to repair or replace defective parts. Labor (except for instrument components) and shipping costs will be borne by the customer. Returns must be received postage prepaid.

7.2. Defects and deterioration caused by wear and tear or external accidents (incorrect assembly, abnormal use, etc.) are excluded from the warranty.

  1. RETENTION OF TITLE

8.1. In accordance with Law No. 80-335 of 12/05/1980, the seller remains the owner of the delivered goods until full payment of the price. In the event of non-payment by the buyer of even a fraction of the price by the agreed due date, the seller reserves the right to repossess the goods in question by registered letter.

  1. JURISDICTION

9.1. In the event of a dispute, the Commercial Court of Carpentras shall have sole jurisdiction, regardless of the terms of sale or the accepted payment method, even in the event of a guarantee or multiple defendants.
